The purpose of this website is to inform you of a class action lawsuit now pending in the Court of Chancery of the State of Delaware (the “Court”) under the above caption (the “Consolidated Action”) against Saba Software, Inc. (“Saba”); and Shawn Farshchi, William V. Russell, Dow R. Wilson, William M. Klein, William N. MacGowan, Michael Fawkes, and Nora Denzel (“Individual Defendants”). If you held shares of Saba common stock, either of record or beneficially, at the close of the acquisition with Vector Capital on March 30, 2015, and were cashed out of your shares of Saba common stock in the acquisition, this class action lawsuit may affect your rights. For additional details regarding this Settlement, how your rights will be affected by the legal proceedings in this Consolidated Action, and the distribution of the Net Settlement Amount if approved by the Court, please read the Notice.
This website is not an expression of any opinion by the Court concerning the merits of any claim in the Consolidated Action, and the Court still has to decide whether to approve the Settlement. If the Court approves the Settlement, then payments to Settlement Payment Recipients will be made after any appeals are resolved and after the completion of all claims processing.
